These Terms and Conditions govern the contractual relationship between MELECTRO SERVICES / TEAMLIFTING (referred to as “The Company” or “We”) and the client (referred to as “The Client” or “You”) for the provision of electrical and engineering services.
1. General Scope of Work
- Services: The Company agrees to provide the services as outlined in the client’s official quotation and/or a mutually agreed-upon Statement of Work (SOW). These services primarily include, but are not limited to, High Voltage Substation Construction, Power Transformer & Circuit Breaker work (dismantling, installation, testing), On-Site Maintenance, Oil Processing, and related Engineering Services.
- “Swapping Projects”: Specifically, The Company offers end-to-end turnkey solutions for the dismantling, transportation, and replacement of electrical equipment, integrating mechanical and electrical expertise.
2. Pricing and Payment
- Quotation: All services will be priced based on a formal written quotation provided by The Company.
- Invoicing: Invoicing and payment schedules (e.g., mobilization fee, stage payments, completion payment) will be specified in the SOW or commercial agreement.
- Taxes: All applicable local taxes, duties, and levies shall be borne by The Client unless otherwise agreed in writing.
3. Execution of Services
- Standards: Services will be executed by experienced personnel, adhering to strict safety compliance with international standards and client-specific regulations, and aiming for the highest technical excellence and reliability.
- Equipment: The Company will deploy its proprietary and leased equipment (e.g., High Vacuum Oil Purifiers, Prime movers, Hydraulic Trailers, Cranes) as necessary for the project execution.
- Site Access and Preparation: The Client is responsible for providing timely, safe, and necessary site access, permits, and any agreed-upon site preparations required for The Company’s team and equipment.
4. Safety and Compliance
- Primary Commitment: Safety is paramount. The Company is committed to strict adherence to international safety standards and client-specific regulations.
- Client Cooperation: The Client must cooperate fully with The Company’s safety protocols while on site.
5. Liability and Warranties
- Warranty: The Company warrants that its services will be performed in a professional manner, with reasonable skill and care, and in accordance with industry standards.
- Limitation of Liability: The Company’s liability shall be limited to direct damages and shall not exceed the total value of the contract for the specific services in question, except in cases of gross negligence or willful misconduct. The Company is not liable for indirect or consequential damages.
- Indemnification: Each party agrees to indemnify the other against damages arising from its own gross negligence or failure to comply with applicable laws.
6. Governing Law and Dispute Resolution
- Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
- Dispute Resolution: Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. Failing that, the dispute shall be submitted to the competent courts in Al Khobar, KSA
